Services Agreement

Price: $25.00 (Excluding VAT at 20%)

This general services agreement can be adapted for use in relation to a wide range of different kinds of business-to-business services. It sets out details of the services to be provided by the supplier to the customer. It is often crucial that the scope of the services be properly defined at the outset, so that the supplier knows exactly what it must do and the customer knows exactly what it should receive.

To get an idea of the content and style of this services agreement, see:

Precedent Services Agreement

The section headings are as follows: (1) Definitions and interpretation, (2) Appointment and Term, (3) Services, (4) Customer obligations, (5) Charges and payment, (6) Warranties, (7) Limitations and exclusions of liability, (8) Termination, (9) Effects of termination, (10) Non-solicitation, (11) Notices, and (12) General.

Services Agreement FAQ

Services Agreement FAQ

What sort of services can this be adapted for?

It is designed for a wide range of B2B services needing a straightforward agreement. Two of the main limitations of the document are as follows: use of the template in relation to more specialist (or specially regulated) services will require more adaptation; and, the document does not include an IPR clause, so if the services involve the production and licensing/assignment of IPR this will need to be added.

Does the precedent have a clause covering the supply of services at the client's offices?

Yes. A short-form premises clause is included, stipulating (optionally) that: (a) the customer will grant access to the premises; (b) the customer will be responsible for health and safety at the premises, and will inform the supplier of applicable rules; (c) the customer will maintain the premises in good order and in compliance with applicable law; and (d) the customer will maintain public liability insurance.

They are jurisdiction-neutral, and need to be adapted for a particular jurisdiction before use.
