This is a software license form, designed for use in relation to the licensing of software by one company to another company.

It provides for the delivery of the software to the licensee, and sets out in detail the terms of the license granted. The license provisions have been designed to be flexible, allowing for the software to be licensed to particular named user(s), or in respect of a particular number of concurrent users, or on a per-seat basis.

Other important provisions in the document include:

• Payments - what will the licensor be paid in respect of the license? How and when will payment be made?
• Warranties - what warranties (if any) does the licensor give to the licensee in relation to the software?
• Limitations of liability - will the licensor be protected in the event of a claim from the licensee?
